These General Terms and Conditions of Orders define the conditions, rules, and manner of providing services by Suplement.io sp. z o.o., ul. Frezerów 3, 20-209 Lublin, KRS 0001067318, NIP PL 9462733865.
I. Definitions
Price List — a price list containing unit prices for ordered Products and/or other services.
Warehouse Working Hours — 08:00–16:00 on working days Monday–Friday; closed on weekends and holidays.
Confidential Information — all materials, data, and messages about the Parties and their contractors, including business contacts, client databases, pricing policy, planned orders, trade secrets, and business strategies, constituting a trade secret within the meaning of art. 11(4) of the Act of April 16, 1993, on Combating Unfair Competition.
Client — an entrepreneur placing an Order for services offered by Suplement.io.
Products — white label dietary supplements manufactured and supplied by Suplement.io to the Client based on the Order.
Recipe — a list of ingredients and the method of manufacturing the Product, constituting a trade secret of Suplement.io.
Force Majeure — an unusual event independent of the Parties which neither Party can prevent despite exercising due diligence.
Order — email acceptance of the offer sent to the Client by Suplement.io.
Agreement — General Terms and Conditions of Orders together with the Order and all annexes, amendments, and agreements.
Branding Service — creating an individual brand according to the Client's recommendations, including graphic design, product strategy.
Fulfillment Service — Suplement.io handling orders from third parties (end customers) for Products from the Client.
II. Scope of Services
Under these GTC, the Client may commission Suplement.io to perform:
- Manufacture and delivery of the Product
- Branding Service
- Fulfillment Service
III. Placing Orders
Orders are placed by email acceptance of the offer sent by Suplement.io. In case of discrepancies between these Terms and the Order, the Order shall prevail. Any change to the Order requires documentary or written form under pain of nullity. A change is possible until Suplement.io confirms acceptance for execution. Delivery is made in accordance with the CPT Incoterms 2020 rule to the address indicated in the Order. Suplement.io will notify the Client of the planned delivery date 5 days in advance.
IV. Obligations of the Parties
Suplement.io undertakes to:
- Notify the Client about preparation of raw materials and enable quality inspection within 3 working days
- Inform about progress in Order execution
- Carry out the Product production process
- Ensure quality control in accordance with HACCP and GMP standards
- Package products within the meaning of art. 27(3) of the Act
- Notify the Chief Sanitary Inspector before placing Products on the market for the first time
The Client undertakes to:
- Pay the price resulting from the Order and invoices issued by Suplement.io
- Provide commercial label designs compliant with EU food law (Regulation 1169/2011)
- Ensure access to data and documentation necessary for Order execution
- Cooperate with Suplement.io to the extent necessary for proper Order execution
- Ensure appropriate storage conditions compliant with HACCP, GHP, and GDP requirements
V. Right of Withdrawal
The Client has the right to withdraw from the Agreement if defective or non-compliant manufacturing is found, provided Suplement.io has been previously called upon in writing to remedy the issue with a reasonable deadline of no less than 14 calendar days. Suplement.io may withdraw if the Client fails to provide materials within the Order deadline, after calling the Client to submit required materials within 3 calendar days. The right of withdrawal is valid until 60 days after the expiry of the relevant deadlines.
VI. Prices and Payment Terms
The Client pays the price in the amount and within deadlines specified in the Order. Unless otherwise stated, payment is due within 14 days from VAT invoice issuance. All delivery and packaging costs are determined during order acceptance. The Client agrees to receive VAT invoices electronically. The payment date is the date of crediting Suplement.io's bank account. In case of delay, Suplement.io is entitled to charge statutory interest for delays in commercial transactions without additional notice.
VII. Liability of the Parties
Suplement.io is liable under warranty for physical defects of Products. Complaints regarding quantitative or qualitative deficiencies must be reported in writing within 3 days of delivery (hidden defects: within 7 days of discovery) using the form to qualitydept@suplement.io. Complaints are processed within 30 days. Total liability of Suplement.io is limited to the net remuneration paid under the Order. Suplement.io is not liable for lost profits or indirect/consequential damages.
VIII. Intellectual Property Rights
VIII.I — Suplement.io Recipe
The Recipe is the exclusive property of Suplement.io and is covered by trade secret. Suplement.io does not transfer IP rights related to the Recipe to the Client. Under a separate agreement, the Client may obtain a non-exclusive license to the Recipe for a separate fee.
VIII.II — Client Materials
To enable Suplement.io to fulfill the Order, the Client grants non-exclusive, gratuitous licenses to use Materials in all relevant fields of exploitation including reproduction, distribution, public exhibition, and digital dissemination. The Client guarantees that Materials do not infringe third-party rights and will indemnify Suplement.io against any third-party claims.
VIII.III — Branding Service
Economic copyrights to graphic designs created by Suplement.io transfer to the Client upon approval of the final design after full payment. The transfer covers all fields of exploitation known at the time of the Order, without territorial or temporal limitations, including the right to register trademarks, industrial designs, and other IP rights.
IX. Special Conditions for Fulfillment Service
As part of Fulfillment, Suplement.io undertakes to: transfer Products to the Warehouse; store, pick, and pack end customer orders; dispatch via selected Carriers; handle returns and complaints; and provide inventory reporting. Products are stored in conditions compliant with GHP and GDP. The risk of damage rests with Suplement.io until Products are handed over to the Carrier. Liability is limited to the replacement value of the Product.
X. Branding Service
The Branding Service includes consultations, identity and product design by a qualified team (naming, labels, logo), presentation of results, and modifications at the Client's request. Detailed obligations and remuneration are specified in the Order.
XI. Term of the Agreement
These Terms are framework in nature and valid for an indefinite period. Each Party may terminate with a 1-month notice effective at end of calendar month. Termination of the Terms does not affect Orders concluded thereunder. Suplement.io may terminate with immediate effect upon material breach not remedied within 14 days of written notice.
XII. Final Provisions
XII.I — Confidential Information
During the term and 5 years after expiration, the Parties keep Confidential Information confidential and protected against third-party access. Each Party may publish information about cooperation in promotional materials, including the other Party's logotype, provided no detailed terms are disclosed.
XII.II — Personal Data
Personal data is shared between the Parties as controllers in connection with Order performance. Where personal data processing is entrusted to Suplement.io, a separate data processing agreement (DPA) under Article 28 GDPR is required. For Fulfillment Service, Suplement.io acts as processor of end customers' personal data. Both Parties undertake to fulfill GDPR obligations and assist each other in responding to data subject requests and supervisory authority obligations.
XII.III — Notifications
Contact persons and their details are designated in the Order. Changes must be reported by email to the other Party immediately and take effect upon notification.

The information we collect includes:

Log and usage data is service-related, diagnostic, usage, and performance information our servers automatically collect when you access or use our Services and which we record in log files. Vendors, Consultants, and Other Third-Party Service Providers. 6. DO WE OFFER ARTIFICIAL INTELLIGENCE-BASED PRODUCTS?

As part of our Services, we offer products, features, or tools powered by artificial intelligence, machine learning, or similar technologies (collectively, "AI Products"). These tools are designed to enhance your experience and provide you with innovative solutions. The terms in this Privacy Notice govern your use of the AI Products within our Services.
Use of AI Technologies
We provide the AI Products through third-party service providers ("AI Service Providers"), including Anthropic and fal.ai. As outlined in this Privacy Notice, your input, output, and personal information will be shared with and processed by these AI Service Providers to enable your use of our AI Products for purposes outlined in "WHAT LEGAL BASES DO WE RELY ON TO PROCESS YOUR PERSONAL INFORMATION?" You must not use the AI Products in any way that violates the terms or policies of any AI Service Provider.

Our AI Products are designed for the following functions:

How We Process Your Data Using AI
All personal information processed using our AI Products is handled in line with our Privacy Notice and our agreement with third parties. This ensures high security and safeguards your personal information throughout the process, giving you peace of mind about your data's safety.
7. HOW LONG DO WE KEEP YOUR INFORMATION?
In Short:
We keep your information for as long as necessary to fulfill the purposes outlined in this Privacy Notice unless otherwise required by law.
We will only keep your personal information for as long as it is necessary for the purposes set out in this Privacy Notice, unless a longer retention period is required or permitted by law (such as tax, accounting, or other legal requirements). No purpose in this notice will require us keeping your personal information for longer than the period of time in which users have an account with us.
When we have no ongoing legitimate business need to process your personal information, we will either delete or anonymize such information, or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible.
8. HOW DO WE KEEP YOUR INFORMATION SAFE?

However, despite our safeguards and efforts to secure your information, no electronic transmission over the Internet or information storage technology can be guaranteed to be 100% secure, so we cannot promise or guarantee that hackers, cybercriminals, or other unauthorized third parties will not be able to defeat our security and improperly collect, access, steal, or modify your information. Although we will do our best to protect your personal information, transmission of personal information to and from our Services is at your own risk. You should only access the Services within a secure environment.
9. DO WE COLLECT INFORMATION FROM MINORS?
In Short:
We do not knowingly collect data from or market to children under 18 years of age.
We do not knowingly collect, solicit data from, or market to children under 18 years of age, nor do we knowingly sell such personal information. By using the Services, you represent that you are at least 18 or that you are the parent or guardian of such a minor and consent to such minor dependent’s use of the Services. If we learn that personal information from users less than 18 years of age has been collected, we will deactivate the account and take reasonable measures to promptly delete such data from our records. 10. WHAT ARE YOUR PRIVACY RIGHTS?

You may review, change, or terminate your account at any time, depending on your country, province, or state of residence.

These may include the right (i) to request access and obtain a copy of your personal information, (ii) to request rectification or erasure; (iii) to restrict the processing of your personal information; (iv) if applicable, to data portability; and (v) not to be subject to automated decision-making. In certain circumstances, you may also have the right to object to the processing of your personal information. We will consider and act upon any request in accordance with applicable data protection laws.
If you are located in the EEA or UK and you believe we are unlawfully processing your personal information, you also have the right to complain to your Member State data protection authority or UK data protection authority.
If you are located in Switzerland, you may contact the Federal Data Protection and Information Commissioner.
Withdrawing your consent: If we are relying on your consent to process your personal information, you have the right to withdraw your consent at any time. However, please note that this will not affect the lawfulness of the processing before its withdrawal nor, will it affect the processing of your personal information conducted in reliance on lawful processing grounds other than consent.

- Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.
- Your Contributions do not violate any applicable law, regulation, or rule.
- Your Contributions do not violate the privacy or publicity rights of any third party.
- Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
- Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
- Your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms, or any applicable law or regulation.
Any use of the Services in violation of the foregoing violates these Legal Terms and may result in, among other things, termination or suspension of your rights to use the Services.
10. CONTRIBUTION LICENSE

Suplement.io Sp. z o.o. and yourself both agree to submit to the non-exclusive jurisdiction of the courts of Lublin, which means that you may make a claim to defend your consumer protection rights in regards to these Legal Terms in Poland, or in the EU country in which you reside.
